Linq Legal – Terms and Conditions of Service​

1. Introduction

These Terms and Conditions (“Terms”) apply to your use of the Linq Legal platform and associated services (“Services”), including our integrated legal practice management, matter management, accounting and billing, client onboarding, document management, and Microsoft Outlook add-in.

By subscribing to or using our Services, you agree to be bound by these Terms. If you are entering into this agreement on behalf of a firm or organisation, you represent that you have authority to do so.

2. Scope of Services

  • Platform Access: We provide a cloud-based software solution to support the management of legal practices.

  • Features: Our Services may include, but are not limited to:

    • Matter and case management

    • Client intake and onboarding (including KYC/AML)

    • Accounting and billing (fully integrated)

    • Document storage and workflow management

    • Outlook add-in for matter and client access

    • Integrations with third-party services (e.g. Microsoft 365, DocuSign).

  • Third-Party Services: We may offer integrations with third-party platforms. Their use is governed by their own terms and conditions, and we accept no responsibility for such services.

3. Accounts and Access

  • Access to the Services is provided on a subscription basis, licensed per authorised user.

  • You must maintain the confidentiality of all account credentials and are responsible for activity under your account.

  • You must ensure that only authorised staff within your organisation use the Service

4. Fees and Payment

  • Subscription fees are payable as agreed in your order form or invoice.

  • Fees are exclusive of VAT unless expressly stated.

  • We may suspend or restrict access if payment is overdue.

  • We reserve the right to review and update fees with reasonable notice.

5. Data Protection and Confidentiality

  • You remain the data controller of client data processed through the Services; we act as a data processor.

  • We will process personal data in accordance with UK GDPR and the Data Protection Act 2018.

  • We implement appropriate technical and organisational security measures.

  • We will only access your data when necessary to provide support or maintain the Services.

  • We will treat all client and matter information as confidential.

6. Availability and Support

  • We aim to provide at least 99.5% uptime for the Services, excluding planned maintenance.

  • Support is available during UK business hours via email and online helpdesk.

  • We may release updates, improvements, and security patches from time to time without prior notice.

7. Acceptable Use

You agree not to:

  • Use the Services for unlawful or fraudulent purposes.

  • Interfere with or attempt to bypass security features.

  • Reverse engineer, copy, or reproduce the Services except as permitted by law.

  • Permit unauthorised third parties to access the Services.

8. Intellectual Property

  • All intellectual property rights in the Services remain owned by Linq Legal Software Ltd.

  • You are granted a limited, non-exclusive, non-transferable licence to use the Services for the term of your subscription.

  • You may not resell, sublicense, or otherwise distribute the Services.

9. Limitation of Liability

  • The Services are provided “as is” without warranty of uninterrupted or error-free operation.

  • We are not a law firm or an accounting firm, and we do not provide legal or professional advice.

  • Our liability in respect of any claim is limited to the total fees paid by you in the twelve (12) months preceding the claim.

  • We are not liable for indirect, incidental, or consequential losses.

10. Term and Termination

  • These Terms continue for the duration of your active subscription.

  • Either party may terminate with 30 days’ written notice.

  • We may suspend or terminate access immediately if you breach these Terms or fail to pay fees.

11. Governing Law

These Terms shall be governed by, and construed in accordance with, the laws of England and Wales. The courts of England shall have exclusive jurisdiction over any disputes.

12. Amendments

We may update these Terms from time to time. Changes will be notified via the platform or by email. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
